Speaker Agreement

This agreement is made on the undersigned date between

(the "Producer") and Latisha B. Russell (the “Speaker”), collectively referred to as the “Parties”, for speaking services rendered by

as described below for the Producer’s live seminar,

Services

The Parties agree that the Speaker shall perform the following Services for the Client in accordance with the terms of this Agreement: 

A. Speaker agrees to perform at the Event to the best of his/her ability. As the Event is (type of event) 

 

100% of the Speaker’s presentation should be designated towards                                                        .

 

B. The Speaker will provide the Producer with his/her biography (for formal introduction), presentation, stage needs, and audiovisual requirements within ten (10) days of the Event.

 

C. Speaker may provide up to three invited guests to attend the Event at no charge. Hotel accommodations, travel costs and other costs associated with these guests are the sole responsibility of the Speaker.

 

D. Speaker retains all rights to his/her presentation and any recordings of his/her individual presentation from the event. (See “Speaker Recordings” section below for more detail).

Payments 

Speaking Services 

Speaker will present at the event, and provide the Services listed above.

Producer will pay Speaker for Speaking at                                    on

Travel Expenses 

Producer is responsible for travel expenses to and from the Event, including airfare and hotel for two people. 

Producer Obligations 

The Producer warrants to the Speaker that: 

 

A. Producer will provide suitable staging, lighting, and audio and video equipment for the Speaker’s presentation as requested. Any special needs beyond traditional conference microphones, PowerPoint/projectors, flip charts, and lighting must be received by the Producer within 30 business days of the event and are subject to the Producer’s approval.

B. Producer will seek to fill audience size projections, but does not guarantee audience size, and will inform the Speaker within three days prior to arrival on how many people will be in attendance. 

C. Producers staff members will be available to assist Speakers with sales and product offerings during the break immediately after their session. will allow the speaker to give something away to the conference audience for free.

Speaker Obligations

The Speaker warrants to the Producer that: 

A. The Speaker will help promote on social channels about the event in assistance with promoting the event.

Speaker Warranties 

The Speaker warrants to the Producer that: 

A. The Speaker will not infringe on any rights of another party in delivering the Services, including any rights or copyrights of any performer, staff member, contractor, competitor, or third party. 

 

B. Speaker has the right and full power to enter this Agreement and has not assigned, pledged or otherwise encumbered its Services to another Producer during this period prior to this Agreement. 

 

C. The Speaker will not enter into any agreements with any person, firm, entity or corporation that will conflict with the rights granted to the Producer as stated in this Agreement. 

 

D. The Speaker will not share, duplicate, or distribute the Producer’s proprietary content, training materials, or marketing methods with, for, or to any other party under any circumstances without direct approval and written permission of the Producer. In general, the Speaker may not disclose any financial, personal or business information about (PRODUCER NAME), the Producer or the Event without permission from the Producer. Such disclosure is grounds for legal action, equitable relief, and termination of this Agreement. Producer will reciprocate for the Speaker. 

 

E. Speaker understands that the law prohibits giving legal or financial advice, unless legally qualified, as well as guaranteeing future earnings, and under no circumstances will offer professional advice or guaranteed financial results from the stage. 

 

F. Speaker will be respectful and professional to the Producer and its assigns, speakers, Event attendees and their guests and families throughout the Event, even during non-scheduled downtime and breaks. Producer reserves the right to ask any member of the Speaker’s team or assigns to leave the Event and Site immediately should they be deemed rude, uncooperative, unprofessional, intoxicated or in possession of any illegal substance at the Event. 

Speaker Recordings 

Speaker understands and agrees to the fact that the Producer may be electronically recording and producing a product from the Event, including the Speaker’s live stage presentation (the “Presentation”) at the Event. Speaker understands that for educational, promotional and commercial applications, Producer may choose to package the recordings (the “Recordings”) from the Speaker’s Presentation as a portion and part of a compilation CD, DVD or packaged program (the “Compilation Product”) which shall contain footage from the Event and the Recordings of all the speakers participating in the Event. 

In consideration thereof, the Parties agree to the following: 

  • a)  Speaker shall retain all rights, including copyright, to their individual Presentation and materials. Speaker’s Presentation and materials will not be used in any way other than what is outlined herein without his or her written permission. 

  • b)  Speaker shall be provided with an unedited master of his or her Recordings in electronic format, and shall retain the right to use his or her Recordings for any purpose, including for individual or bundled sale without any compensation owed to the Producer. 

  • c)  Producer will include Speaker name, contact information, and any relevant handouts or presentation slides requested to promote himself in any Compilation Product, if created, at Producer’s discretion. 

  • d)  Speaker hereby grants to Producer the right to use his or her name, voice, appearance, likeness, image, words, participation and title or professional designation, in whole or in part, in these Recordings and Compilation Product and in any correspondence, publicity, advertising, promotional or other derivative materials based on them to promote the Event and Compilation Product. Producer has no obligation to make use of the rights granted herein. 

  • e)  Speaker hereby grants Producer the right to include the Recordings in the Compilation Product in any format, and to distribute, prepare derivative works, advertise and publicize the Compilation Product without compensation to Speaker, its successors or assigns. Producer may edit the Recordings at its discretion. Producer shall own the worldwide rights, title and interest, including copyright in, and to, the Compilation Product created from its Event. 

  • f)  Speaker represents that he or she has the full right, power and authority to grant this Release and to perform all of the provisions thereof. 

Speaker arrival time 

Event concierge is 

Concierge will greet the Speaker upon arrival and can be reached with any questions. 

 

Equipment Provided 

LCD projectors for PowerPoint, flipchart stand with paper and markers, and both wireless handheld and headset/lavalier microphones will be provided by Producer

Entire Understanding and Dispute 

This Agreement constitutes the entire understanding of the Parties and may be modified only by a written agreement executed by both parties. This Agreement shall be construed and interpreted according to the laws of the State of                                             in the United States of America and shall be binding upon the parties hereto, their heirs, successors, assigns, and personal representatives; and references to the Client and to the Producer shall include their heirs, successors, assigns, and personal representatives. 

In the event of a dispute between the Parties regarding this Agreement cannot be resolved by mutual collaboration or mediation, any such disputes, controversies and claims arising out of or relating to this Agreement shall be settled and determined by arbitration in the State of 

 

The rules governing this arbitration shall be according to the American Arbitration Association (AAA). The parties further agree that the arbitration shall be conducted before a three panel arbitration board wherein each party to this agreement selects one arbitrator and those selected arbitrators select a third arbitrator. The decision of the arbitration shall be final and each party agrees to be bound by the arbitration board. 

 

Severability 

If any provision or covenant, or part thereof, of this Agreement should be held by any court or other legitimate tribunal with appropriate jurisdiction to be invalid, illegal or unenforceable, either in whole or in part, such invalidity, illegality or unenforceability shall not affect the validity, legality or enforceability of the remaining provisions or covenants, or any part thereof, of this Agreement, all of which shall remain in full force and effect. 

Agreement 

IN WITNESS WHEREOF, the Parties have indicated their acceptance of the terms of this Agreement by the signatures set forth below on the Effective date indicated in full understanding that these terms are binding in all respects and territories unless prohibited by law. Each individual signing for a corporate entity hereby personally warrants his or her legal authority to bind that entity.
